A legal entity is subject to re-registration in the following cases:

1) reduction of the amount of the authorised capital;

2) change of name;

3) changes in the composition of participants in business partnerships (except for limited liability partnerships where the register of participants of the limited liability partnership is maintained by the central depository).

For the state re-registration of a legal entity, record re-registration of a branch (representative office) shall be submitted:

1) application for state re-registration of a legal entity, record re-registration of a branch (representative office) in the form established by the Ministry of Justice of the Republic of Kazakhstan;

2) decision or extract from the decision of the authorised body of the legal entity on the state (accounting) re-registration, providing for amendments and additions to the constituent documents of the legal entity, the regulations on the branch (representative office), sealed with the seal of the legal entity, except for the submission of an electronic application. If the legal entity is a private enterprise, sealing of documents is not required;

3) two copies of constituent documents with amendments and additions made or the text of amendments and additions made to the constituent documents of a legal entity other than a private business entity, branch (representative office);

3-1) notarised charter (regulation) with the amendments and additions made or the text of the amendments and additions made to the charter of a joint stock company, the regulation of a branch (representative office);

4) originals of previous constituent documents of a legal entity that is not a private business entity, except for joint-stock companies, regulations on branches (representative offices);

5) a document confirming the payment of registration fee to the budget for state re-registration of a legal entity that is a non-profit organisation or record re-registration of its branch (representative office);

6) a document confirming payment to the State Corporation “Government for Citizens” for the state re-registration of a legal entity that is a commercial organisation or record re-registration of its branch (representative office).
